For the operational due diligence lead

Three weeks to signing, and the target's operating model is a data room full of PDFs.

The commercial case assumes the target can be integrated on plan. Nobody has tested whether its operating model can carry that.

  • Establish what the target has documented, owned, approved and connected, and where the evidence stops.
  • Identify the critical processes with no adequate risk, control or owner behind them, before the price is fixed.
  • Give the investment committee an operational read to set beside the financial one.

What the two models are here

On one side, the target's operating model as its own repository and documents describe it. On the other, the acquirer's standard, or the operating model the investment thesis assumes. IGX360 Insights gives you a common structure to hold both, so the comparison is like for like rather than two decks that never quite line up.

The output is a coverage and gap view: what the target can actually evidence about how it runs, and where a claim in the data room has nothing behind it.

Why diligence is different

Diligence is time-boxed, access is controlled, and the evidence is always incomplete. IGX360 Insights works from whatever the target has: an iGrafx or ARIS export, Visio files, SOPs, or notes from a management interview. It does not need a clean repository to produce a first read.

What IGX360 Insights does here

It analyses the operating model you can evidence. It does not invent the rest.

IGX360 Insights works from the structured process content both organisations already hold. It reads that content, connects it, and shows you what it can and cannot support. Everything below stays inside one boundary: it analyses the operating model as the repository represents it, not transactional execution and not financial value.

Read the operating model both sides hold

  • Repository health and maturity: what is documented, owned, approved and connected.
  • Risk and control gaps: critical processes with no adequate risk, control or owner.
  • Modelling-standard adherence, across different conventions on each side.
  • Dependency analysis, and what a change touches two steps out.
  • Governance and ownership visibility across the connected model.
  • Plain-language questions answered through Iggy, with the source attached.
  • Reporting and structured export for the deal or integration team.

Configured per engagement

Run the harmonisation method on top

  • Synergy substantiation: repository-evidenced overlaps, flagged for validation.
  • Carve-out and separation assessment: entanglement across the perimeter.
  • Day One readiness: the critical processes, owners and dependencies that must hold.
  • Process harmonisation: evidence for each retain, adopt, combine or retire call.
  • Target operating model assurance: does the future state have complete ownership, controls and governance.

These are delivered as a configured method with an adviser, not as buttons in the product.

IGX360 Insights does not match acquirer and target automatically, ingest arbitrary spreadsheets, reconcile across vendor repositories in production, discover transaction-level process execution, calculate financial synergies, or run the integration workflow. It identifies candidates, flags them for validation, and keeps the evidence traceable.

Questions

Operational due diligence: frequently asked questions

The target will not give us repository access. Can IGX360 Insights still help?

Yes. It works from process exports, Visio diagrams, SOPs, policy documents and notes from management interviews. A first read comes from whatever the target has already handed over, structured or not, and shows you what it can and cannot evidence about its own operating model.

Is this operational due diligence or financial due diligence?

Operational. IGX360 Insights does not value the business or model the deal. It analyses how the target operates and how completely that is documented, owned and controlled, so the operational read sits alongside the financial and commercial work rather than duplicating it.

How quickly does it produce something the deal team can use?

That depends on the material the target provides. Given a repository export or a reasonable set of documents, a coverage and risk-gap view is a matter of days, not weeks, and it improves as more evidence arrives through the process.

What does the investment committee actually get?

A view of the target's process estate: what is documented, owned, approved and connected, which critical processes have gaps in risk, control or ownership, and where the operating model may not support the integration the commercial case assumes. Every point traces back to the source it came from.
